5. Orders, Pricing, and Payment Terms
5.1 Placing Orders
When you place an order through our Website, you are making an offer to purchase the selected food items at the prices displayed. All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our sole discretion, including in the event of inaccuracies in pricing or product descriptions, suspected fraudulent activity, or system errors.
5.2 Pricing and Taxes
Prices listed on our Website are in United States Dollars (USD) and are subject to change without notice. All applicable federal, state, and local sales taxes will be added to your order total at checkout. We make every effort to ensure that pricing information is accurate; however, errors may occur. In the event of a pricing error, we reserve the right to correct the error and notify you of the corrected price before processing your order.
5.3 Payment Methods
We accept various forms of payment as indicated on our Website, including major credit cards, debit cards, and other electronic payment methods. By providing payment information, you represent and warrant that:
- You are authorized to use the designated payment method;
- The payment information you provide is accurate and complete;
- You authorize us to charge your payment method for the total order amount, including applicable taxes and fees.
5.4 Refunds and Cancellations
Due to the perishable nature of food products, all sales are generally final once an order has been prepared. If you experience an issue with your order, such as incorrect items or quality concerns, please contact us promptly at [email protected]. Refunds or credits are issued at our sole discretion on a case-by-case basis in accordance with applicable consumer protection laws, including requirements under the Federal Trade Commission Act (15 U.S.C. § 41 et seq.).
5.5 Delivery Fees and Service Charges
Delivery orders may be subject to delivery fees, service charges, and minimum order requirements, which will be disclosed to you prior to completing your purchase. These fees are non-refundable except as required by law.
6. Intellectual Property Rights
The Website and all of its content, features, and functionality — including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, trademarks, service marks, trade names, and the overall design and appearance of the Website — are the exclusive property of Imos Pizza or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for your personal, non-commercial purposes. This license does not include:
- Any resale or commercial use of the Website or its content;
- Any collection and use of any product listings, descriptions, or prices;
- Any derivative use of the Website or its content;
- Any downloading or copying of account information for the benefit of another merchant;
- Any use of data mining, robots, or similar data gathering and extraction tools.
You may not reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse-engineer, disassemble, or otherwise exploit any content on the Website without our prior written consent. Any unauthorized use of our intellectual property terminates the permission or license granted by us.
The Imos Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Imos Pizza or its affiliates. You may not use such marks without the prior written permission of the Company.
7. Third-Party Links and Services
Our Website may contain links to third-party websites, services, or resources that are not owned or controlled by Imos Pizza. We provide these links only as a convenience and have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not endorse or make any representations about any third-party websites or services.
Your interactions with third-party websites and services are governed by the terms and privacy policies of those third parties. We strongly encourage you to review the terms and privacy policies of any third-party sites you visit. We are not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods, or services available through third-party sites.
8. Disclaimers and "As-Is" Basis
THE WEBSITE AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IMOS PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT OR SERVICES;
- ANY WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- ANY WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE WEBSITE.
We do not warrant that the Website will meet your requirements or that any errors in the Website will be corrected. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
Regarding food products specifically, while we take reasonable care to ensure the quality of our food items and to accurately describe ingredients and potential allergens, we cannot guarantee that our products are free from all allergens or that descriptions are completely exhaustive. Customers with food allergies or dietary restrictions are encouraged to contact us directly before placing an order.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IMOS PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- COST OF SUBSTITUTE GOODS OR SERVICES;
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- DAMAGES ARISING FROM STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE;
- ANY OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR SERVICES.
IN ALL CASES, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS OR RELATED TO YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
These limitations apply regardless of the legal theory (whether in contract, tort, negligence, strict liability, or otherwise) under which such damages are sought, and even if we have been advised of the possibility of such damages. Some states do not allow limitations on implied warranties or exclusions or limitations of certain damages, so the above limitations and exclusions may not apply to you to the extent such law applies.
10. Indemnification
You agree to defend, indemnify, and hold harmless Imos Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service;
- Your use or misuse of the Website or our services;
- Your violation of any applicable federal, state, or local law or regulation;
- Your violation of any third-party rights, including without limitation any intellectual property, privacy, or proprietary rights;
- Any content or data you submit, post, or transmit through the Website;
- Any dispute between you and any third party arising out of or related to your use of our services;
- Your fraud, intentional misconduct, or gross negligence.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You agree not to settle any matter without our prior written consent.
11. Privacy Policy
Your use of our Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and share your personal information in connection with your use of our services. By using our Website, you consent to the data practices described in our Privacy Policy.
We comply with applicable United States federal and state privacy laws, including, where applicable, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) for California residents, and the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) regarding unfair or deceptive practices in data handling. We encourage you to review our Privacy Policy carefully.
12. Governing Law and Jurisdiction
These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or our services — including questions regarding the existence, validity, interpretation, performance, breach, or termination of these Terms — shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Imos Pizza operates, without giving effect to any conflict of law provisions that would require the application of the laws of any other jurisdiction.
Subject to the arbitration agreement set forth in Section 13, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the applicable United States jurisdiction for any action that is not subject to arbitration. You hereby waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
You further agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of our services or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
13. Dispute Resolution and Arbitration
13.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact us informally and attempt to resolve any dispute, claim, or controversy in good faith. Please send written notice of your dispute to us at [email protected], describing the nature of the dispute and your desired resolution. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice.
13.2 Binding Arbitration
If we are unable to resolve a dispute informally within thirty (30) days, you and Imos Pizza agree to resolve any remaining dispute through binding arbitration, rather than in court, except that either party may assert individual claims in small claims court. The arbitration will be conducted by a recognized arbitration organization under its applicable rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
The arbitrator shall apply applicable substantive law consistent with the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and shall have authority to award any remedy or relief that a court could order. The arbitration proceedings and any award shall be kept confidential, except as necessary to enforce an award.
13.3 Class Action Waiver
13.4 Exception: Small Claims Court
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction. This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, which may be able to seek relief on your behalf.
14. Term and Termination
These Terms of Service are effective as of the date first posted and shall remain in full force and effect unless and until terminated as set forth herein.
14.1 Termination by You
You may terminate these Terms at any time by discontinuing your use of the Website and, if applicable, deleting your account. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment for any outstanding orders.
14.2 Termination by Us
We reserve the right, in our sole discretion, to suspend or terminate your access to the Website and our services, with or without notice, for any reason, including but not limited to:
- Your breach or violation of any provision of these Terms;
- Fraudulent, abusive, or illegal activity;
- Extended periods of inactivity;
- At the request of law enforcement or government agencies;
- Technical, security, or operational reasons.
14.3 Effect of Termination
Upon termination, your right to use the Website and our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability. We shall not be liable to you or any third party for termination of your access to the Website.
15. Changes to These Terms
We reserve the right to modify, update, or replace these Terms of Service at any time and for any reason, at our sole discretion. We will indicate the date of the most recent revision at the top of this page. If we make material changes to these Terms, we will make reasonable efforts to notify you, such as by posting a prominent notice on our Website, by sending an email to the address associated with your account, or by other means as required by applicable law.
Your continued use of the Website or our services after any changes to these Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Website and our services. We encourage you to review these Terms periodically to ensure you are aware of any changes.
In the event that changes to these Terms materially affect your rights or obligations, we will provide at least thirty (30) days' advance notice before the changes take effect where required by applicable law.
16. Severability
If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of these Terms shall continue in full force and effect as if such invalid, illegal, or unenforceable provision had never been included.
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by a duly authorized representative of Imos Pizza.
17. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or additional terms and conditions posted by us on the Website, constitute the entire agreement between you and Imos Pizza with respect to your use of the Website and our services. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof.
No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms. These Terms do not confer any third-party beneficiary rights.
18. Accessibility
Imos Pizza is committed to ensuring digital accessibility for all users, including individuals with disabilities. We strive to make our Website accessible in accordance with the Web Content Accessibility Guidelines (WCAG) and applicable provisions of the Americans with Disabilities Act (ADA), 42 U.S.C. § 12182. 19. Electronic Communications
By using our Website and services, you consent to receive electronic communications from us, including order confirmations, receipts, account information, promotional materials (where you have opted in), and other information. You agree that any notices, agreements, disclosures, or other communications we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing, to the fullest extent permitted by applicable law.
You may opt out of receiving promotional communications from us by following the unsubscribe instructions contained in any promotional email we send you, or by contacting us directly at [email protected]. Please note that opting out of promotional communications does not affect our ability to send you transactional or service-related communications.
20. Force Majeure
Imos Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government actions, war, terrorism, labor disputes, power outages, internet or telecommunications failures, or other circumstances beyond our reasonable control. In such events, our obligations shall be suspended for the duration of the force majeure event.
